TERMS OF SERVICE

1Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Zinance Inc., a corporation organized under the laws of Ontario, Canada ("Company," "we," "us," or "our"), governing your access to and use of our mobile applications, websites, and related services (collectively, the "Services").

BY DOWNLOADING, INSTALLING, ACCESSING, OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICES.

We reserve the right to modify these Terms at any time. Your continued use of the Services following any such modification constitutes your acceptance of the modified Terms.

2Eligibility and Age Requirements

Our Services are intended for users of all ages. However, certain features and functionalities may be subject to age restrictions.

• If you are under the age of 13 (or the applicable age of consent in your jurisdiction), you may only use our Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
• Parents and guardians are responsible for monitoring their children's use of our Services and ensuring compliance with these Terms.
• By allowing a minor to use our Services, the parent or guardian agrees to these Terms on behalf of such minor and assumes all responsibility for the minor's use of the Services.
• We are not responsible for verifying the age of users or obtaining parental consent.

3License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Services on compatible devices that you own or control, solely for your personal, non-commercial entertainment purposes.

This license does not grant you any right, title, or interest in or to the Services, except for the limited license expressly set forth herein. All rights not expressly granted herein are reserved by the Company.

4Intellectual Property Rights

The Services, including all content, features, functionality, software, code, graphics, designs, text, images, sounds, music, and other materials therein (collectively, "Content"), are owned by the Company or its licensors and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You agree not to:

• Copy, reproduce, distribute, publish, display, modify, or create derivative works based on the Services or Content;
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services;
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices;
• Use any robot, spider, scraper, or other automated means to access the Services;
• Sell, license, rent, lease, or otherwise commercialize the Services or Content.

5Third-Party Services

Our Services may integrate with or provide access to third-party services, including but not limited to Apple Game Center for leaderboards and achievements. Your use of such third-party services is subject to the terms and conditions and privacy policies of those third parties.

Apple End User License Agreement: If you access our Services through the Apple App Store, you acknowledge and agree that these Terms are between you and the Company only, and not with Apple Inc. Apple has no obligation to provide maintenance or support for our Services.

We are not responsible for the content, accuracy, availability, or any other aspect of third-party services. Your use of third-party services is at your own risk.

6Advertising

Our Services may display advertisements provided by third-party advertising networks. By using our Services, you acknowledge and agree that:

• We may display advertisements within the Services;
• If you consent through Apple's App Tracking Transparency framework, personalized advertisements may be displayed based on your interests and usage patterns;
• We are not responsible for the content or accuracy of any advertisements;
• Your interactions with advertisers are solely between you and such advertisers.

7Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Using cheats, exploits, automation software, bots, hacks, mods, or any unauthorized third-party software designed to modify or interfere with the Services;
• Manipulating or artificially inflating game scores, leaderboard rankings, or achievements;
• Using the Services in any manner that could disable, overburden, damage, or impair the Services;
• Attempting to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services;
• Harassing, abusing, or threatening other users through leaderboards or any other features;
• Using offensive, obscene, or inappropriate display names or content;
• Violating any applicable law, regulation, or these Terms.

8User Content

To the extent that you submit any content through the Services (including, without limitation, display names or other identifiers visible through Apple Game Center), you represent and warrant that such content does not violate the rights of any third party and complies with all applicable laws and these Terms. Display names and leaderboard information are subject to Apple Game Center's terms of service and community guidelines.

9Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

10Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
• ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES;
• ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS;
• ANY DAMAGES ARISING FROM THE CONDUCT OF ANY THIRD PARTY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESS TO THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11Indemnification

You agree to defend, indemnify, and hold harmless the Company, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any claim that your use of the Services caused damage to a third party. This indemnification obligation will survive the termination of these Terms and your use of the Services.

12Termination

We reserve the right to suspend or terminate your access to the Services at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, intellectual property provisions, warranty disclaimers, limitation of liability, and indemnification.

13Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada, and you hereby consent to the personal jurisdiction of such courts.

14Dispute Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact us at the email address provided below to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally within thirty (30) days from the date we receive your notice.

If the dispute cannot be resolved informally, either party may pursue formal dispute resolution in accordance with the Governing Law and Jurisdiction section above.

15Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, which shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

16Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Services and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, regarding the Services.

17Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
